Photography Services & Image License Agreement
By checking the box and submitting your order, you ("Client") agree to the following terms with TCVTours 3D/Seth Hannula ] ("Photographer").
1. Services & Scope
The property address, scope of services, and delivery details are as specified in your order form ("the Order"). This Agreement governs the use of all images delivered in connection with that Order.
2. Ownership
All images and related intellectual property created by Photographer remain the sole and exclusive property of Photographer. Payment does not transfer copyright or ownership.
3. License Grant
Upon full payment, Photographer grants Client a limited, non-exclusive, non-transferable, non-sub-licensable license to use the images solely to market the property identified in the Order, including MLS listings, websites, social media, printed materials, and open house displays.
Term: The license is valid for the duration of the property's active listing plus 30 days, or 12 months from delivery, whichever is shorter.
4. No Transfer Without Written Consent
Client may not sell, assign, transfer, sublicense, or otherwise convey the images or this license to any third party — including other agents, brokerages, property owners, or marketing firms — without Photographer's prior written express consent. Any such transfer requires a separate written agreement and may carry an additional fee.
5. Usage Restrictions
* Use is limited to the specific property identified in the Order.
* Images may not be used for other properties, stock licensing, merchandise, or any unrelated commercial purpose.
* Images may not be altered in a way that misrepresents the property or reflects negatively on Photographer.
* Paid digital advertising (e.g., Facebook/Google Ads) is included.
6. Releases & Permits
Client is responsible for obtaining any model releases, property owner consents, or permits needed for the intended use of the images.
7. Indemnification
Client agrees to indemnify and hold harmless Photographer from any claims arising from use of the images in violation of this Agreement.
8. Termination
The license ends automatically at the expiration of the term in Section 3. Upon expiration, Client shall cease all use. Extensions may be granted at Photographer's discretion for an additional fee.
9. General
* Governing Law: State of Minneasota.
* Amendments: Changes require a written agreement signed by both parties.
* Severability: If any provision is unenforceable, the remainder stays in effect.
